Location: Ft. Worth Texas
Compensation:
Base salary $150-180,000; full benefits, Immediate availability preferred.
Position requires a high level of confidentiality with respect to the Company’s business, key customers, and vendors. Position represents the Company in a positive image, working with our employees, customers, and community in a safe and ethical manner to achieve financial success.
Summary: Primary function of the position is to provide legal guidance for commercial contracts involving DOTs, General Contractors and Subcontractors, and serve as primary legal point of contact for the organization.
Oversee all legal matters of the business, including:

Maintaining and organizing of the Company’s legal documents and files

Participating in complex business transactions and negotiations
-
Managing outside counsel
-
Crafting and reviewing legal strategy in response to any litigation
-
Managing intellectual property rights and reporting
-

Facilitating filings of licensing and other statutory requirements
-
Participating in internal controls and human resource documentation
-
Advising executive members on new and existing laws and risks that would impact functionality of the business
Essential Duties and Responsibilities:
Provides counsel and guidance to overall organization, including:

Contract and Project Management. Responsibilities to include, but are not limited to, preparing, reviewing, and negotiating contracts including commercial project contracts

Maintaining the archives of relevant real estate contracts, leases and agreements, other related service contracts, and license agreements.

Managing and working closely with outside counsel on matters such as IP, litigation, claims, bid protests.

Providing advice on the effectiveness of the solutions and mitigation strategies developed by the operations, pricing, and procurement teams on key risk issues.

Developing Company’s Risk Register and addresses project risks

Working closely and maintaining strong and collaborative relationships with business stakeholders, and department heads, estimators
-
Advising management regarding relevant regulatory requirements affecting the operations of the transportation and logistics sectors

Serving as the Company’s Compliance Officer
Preferred Experience, Qualifications and Personal Traits:

Experience
-
Negotiating municipal and federal government contracts related to industrial construction or highway services
-
3 or more years of law firm, in-house legal, or general business experience
-

Qualifications
-
JD from accredited law school
-
Excellent written, verbal, and analytical skills
-
Licensed to practice, or ability to become licensed to practice, in appropriate jurisdictions
-
In good standing with State Bar with no disciplinary record
-
Demonstrated legal knowledge/ familiarity in relevant subject matter(s).
